These Terms and Conditions (“Terms”) govern your use of medfordpublishers.com and your interactions with MedFord Publishers (“MedFord,” “we,” “us,” or “our”). Project-specific services are also governed by the proposal, statement of work, order, or other written agreement accepted by the client.
Acceptance of these terms
By accessing this website, submitting an inquiry, or engaging our services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website or submit information through it.
You must be at least 18 years old and legally able to enter into an agreement to purchase services. If you act for a company, author, or other organization, you represent that you have authority to bind that party.
Independent author services
MedFord is an independent author-services company offering paid support that may include writing, editing, design, illustration, publishing preparation, marketing, author websites, and audiobook production. We are not a traditional publishing house and are not affiliated with Amazon KDP, IngramSpark, or any other third-party platform unless expressly stated in writing.
Our role is to provide the agreed professional services. The author or client remains the publisher, rights holder, and decision-maker unless a signed agreement expressly provides otherwise.
Proposals and project agreements
A website description or initial consultation is informational and is not a binding offer. The scope, deliverables, fees, payment schedule, revision rounds, assumptions, dependencies, and estimated timeline for a project will be described in a proposal or other written agreement.
If a project agreement conflicts with these website Terms, the project agreement controls for that engagement. Changes to scope, specifications, or direction may require a written change order, updated schedule, and additional fee.
Client responsibilities
To support accurate and timely work, you agree to:
- Provide complete, current, and accurate information, content, specifications, and feedback.
- Respond to reasonable requests and provide approvals within the agreed review periods.
- Confirm factual statements, quotations, citations, permissions, names, and final proofs before publication.
- Maintain copies of original files and important project materials.
- Use the website and services lawfully and without attempting to disrupt, probe, or compromise their operation or security.
You represent that you own or have permission to use all manuscripts, images, recordings, trademarks, testimonials, personal information, and other materials you provide. You must not submit unlawful, infringing, defamatory, deceptive, or harmful content.
Fees, payments, cancellations, and refunds
Fees and payment dates are established in the applicable project agreement. Work may be scheduled or started only after required approvals and payments are received. Late or incomplete payment may pause delivery, access, or release of final files.
Cancellation and refund eligibility depend on the signed agreement, work already performed, committed third-party costs, and applicable law. Unless a written agreement says otherwise, completed work, approved milestones, delivered digital services, and nonrecoverable outside costs are not refundable. Nothing in these Terms limits a non-waivable consumer right.
Timelines, feedback, and revisions
Schedules are good-faith estimates unless expressly guaranteed in writing. Timely client materials, approvals, and consolidated feedback are essential. Delays caused by late responses, incomplete content, changed direction, third-party platforms, force majeure, or circumstances outside our reasonable control may extend the schedule.
Included revision rounds are defined in the project agreement. New concepts, restored prior versions, feedback after approval, or changes beyond the agreed scope may be quoted separately. Final approval confirms that you have reviewed the applicable deliverable and accept it for the intended use.
Intellectual property and project materials
You retain ownership of original content and intellectual property you bring to the project. Ownership or license rights in new deliverables will be defined in the applicable agreement and generally become effective after full payment. MedFord retains its pre-existing materials, general know-how, processes, tools, reusable systems, and third-party assets, subject to any license granted for the final deliverable.
Fonts, stock media, software, platform themes, plugins, music, and other third-party assets remain subject to their own licenses. You are responsible for complying with license terms that apply to your continuing use.
Confidentiality and portfolio use
We will use reasonable care with nonpublic project materials and will not intentionally disclose them except to personnel and service providers who need them to perform authorized work, as required by law, or with your permission. Information that is public, independently developed, or lawfully received from another source is not confidential.
We will not treat unpublished material as approved for public display merely because it was submitted to us. Portfolio or promotional use of client work will follow the applicable agreement, the client’s permission, or the fact that the work has already been made public by or for the client.
Third-party platforms and publishing outcomes
Publishing, retail, advertising, payment, social, email, hosting, print, and distribution platforms are independent third parties. Their rules, fees, review processes, availability, account decisions, content restrictions, production tolerances, and policies may change without our control.
MedFord cannot guarantee platform acceptance, uninterrupted availability, retailer placement, media coverage, reviews, audience growth, sales, profit, bestseller status, search ranking, advertising performance, or any particular commercial outcome. Marketing and publishing results depend on many factors outside our control.
Website content and acceptable use
The MedFord name, logos, website design, text, graphics, and original site materials are owned by or licensed to MedFord and are protected by applicable intellectual-property laws. We grant you a limited, revocable, nonexclusive right to access the website for lawful personal or business evaluation.
You may not copy substantial website content, misrepresent affiliation, scrape or harvest information, introduce malicious code, bypass security, interfere with operation, or use the website or its content for an unlawful or infringing purpose.
Disclaimers and limitation of liability
The website is provided on an “as available” basis for general information. To the fullest extent permitted by law, MedFord disclaims implied warranties concerning the website, including merchantability, fitness for a particular purpose, and non-infringement. Professional services are governed by the warranties, if any, stated in the applicable agreement.
To the fullest extent permitted by law, MedFord will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost opportunity, lost data, or reputational harm arising from the website, third-party services, or an engagement. Where liability cannot be excluded, MedFord’s aggregate liability arising from a particular paid engagement will not exceed the amount paid to MedFord for the service giving rise to the claim, unless applicable law requires otherwise.
Indemnification
To the extent permitted by law, you agree to defend and indemnify MedFord and its personnel from third-party claims, losses, or reasonable costs arising from materials you supplied, your violation of another party’s rights, your unlawful use of the website or deliverables, or your material breach of these Terms or a project agreement.
Suspension and termination
We may suspend website access or project work when reasonably necessary because of nonpayment, unlawful or abusive conduct, security risk, material breach, or failure to provide required cooperation. Either party may terminate a project as permitted by the applicable agreement. Provisions that by their nature should survive such as payment, ownership, confidentiality, disclaimers, and limitations remain effective after termination.
Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Unless a controlling agreement or applicable law requires otherwise, disputes relating to these website Terms will be brought in the state or federal courts serving Orange County, California, and the parties consent to that jurisdiction and venue.
Changes, severability, and complete agreement
We may update these Terms by posting a revised version with a new effective date. Continued use after an update means you accept the revised Terms. If a provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in effect.
These Terms, the Privacy Policy, and any applicable project agreement form the complete agreement regarding their respective subject matter and replace prior discussions on that subject. A failure to enforce a provision is not a waiver.
